Introduction

These Terms and Conditions ("Agreement" or "Terms") constitute a binding written agreement between Sage Mind, Inc. and its affiliates and subsidiaries (collectively, "Company," "we," "us," or "our") and you ("you" or "Customer"). Sage Mind, Inc. operates the Pith cognitive wellness platform at trypith.com ("Website") and the Pith mobile application ("App"). By accessing or using our Website, App, or purchasing any products or services (collectively, "Services"), you agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease using the Website and Services.

PLEASE READ: THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

Acceptance of Terms

By using our Website, App, purchasing products, or subscribing to our Services, you agree to these Terms, including our Privacy Policy, Medical Disclaimer, and any other policies referenced herein.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will notify active subscribers by email at least 30 days before the changes take effect. Non-material changes will be effective upon posting on the Website. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

Description of Services

Pith is a cognitive wellness platform that combines:

• Supplement products: Dietary supplements shipped to you on a one-time or subscription basis, fulfilled by third-party partners
• Brain training: A mobile application with personalized cognitive training exercises
• Progress tracking: Cognitive performance insights, including supplement-performance correlations (see "Cognitive Training & Digital Services" below)

Our Services are designed for adults aged 18 and older.

Purchases & Subscriptions

Orders & Payments

• All purchases are subject to our Return & Refund Policy.
• We reserve the right to refuse or cancel any order at our discretion.
• Subscription-based purchases automatically renew unless canceled before the next billing cycle.
• Payment details must be valid, and charges will be processed accordingly.
• Payments are processed by our third-party payment processor.

Subscription Cancellation

• You can cancel your subscription at any time through your account dashboard or by contacting us at support@trypith.com.
• Refunds are not provided for partial subscription periods.

Returns, Refunds & Delivery

Satisfaction Guarantee

We want you to love Pith. If for any reason you are not 100% satisfied with your purchase, you may request a refund within 30 days of delivery of your first order. We'll refund you for the full cost of the product, or as otherwise required by applicable law.

How it Works:

1. Contact our team at support@trypith.com within 30 days of receiving your first order indicating you would like a refund.
2. We will provide instructions to process your refund. That's it.

Subscription Orders:

• Refunds apply to your first order only. If you have any issues with subsequent orders, reach out and we'll do our best to help.
• You can cancel or adjust your subscription anytime through your online account dashboard. Cancel before your renewal date to avoid being charged for your next cycle. We will send a reminder email at least 7 days before each renewal.
• Limit one (1) guarantee per product, per household.

Delivery

• Supplement orders are fulfilled and shipped by our third-party fulfillment partner. Orders are typically processed within 1-3 business days, with delivery in 2-7 business days.
• We are not responsible for delivery delays caused by third parties or shipping carriers.
• Incorrect shipping addresses provided at checkout are the buyer's responsibility to verify before completing their purchase.

Health & Wellness Disclaimer

• Our products and services are not intended to diagnose, treat, cure, or prevent any disease.
• The statements on our Website have not been evaluated by the Food and Drug Administration (FDA).
• Our supplements and digital brain training services are for general wellness and informational purposes only.
• Consult a qualified healthcare professional before using our supplements or engaging in our digital brain training programs, particularly if you have a medical condition or are taking medication.

Cognitive Training & Digital Services

Nature of the Service

The Pith App provides cognitive training exercises and performance tracking for general wellness purposes. The App is not a medical device. It does not diagnose, treat, or prevent any neurological, psychological, or medical condition.

Cognitive Data

When you use the App, we collect cognitive training performance data, including task scores, reaction times, accuracy, and consistency metrics. This data is used to:

• Provide you with personalized training experiences (adaptive difficulty)
• Generate personal progress insights and trend analysis
• Create supplement-performance correlations ("N-of-1 insights") if you are a Bundle subscriber and log supplement usage

N-of-1 Insights

For Bundle subscribers who log supplement usage, the App may display correlations between supplement intake and cognitive performance. These correlations are observational patterns based on your individual data. They are informational only and do not constitute medical advice, clinical findings, or proof of causation. Correlation does not imply causation. Changes in cognitive performance may be due to many factors beyond supplement use.

AI-Based Recommendations

Any personalized recommendations provided through the App, including those generated by algorithms or artificial intelligence, are for informational purposes only. They do not constitute medical, psychological, or therapeutic advice. Always consult a healthcare professional before making decisions related to your mental or physical health.

Data Ownership and Export

Your cognitive training data belongs to you. You may request export of your data or deletion of your account at any time. See our Privacy Policy for details.

User Content & Reviews

• Visitors and users may post reviews, comments, and other content, provided that it is not illegal, obscene, threatening, defamatory, or infringing on intellectual property rights.
• By submitting content, you grant Sage Mind, Inc. a nonexclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, and distribute such content.
• We reserve the right (but not the obligation) to remove or edit content at our sole discretion.

Data Collection & Privacy

• We collect and process user data in accordance with our Privacy Policy.
• By using our Website and Services, you consent to our collection, use, and sharing of data as outlined in our Privacy Policy.
• If you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA).

Dispute Resolution & Arbitration Agreement

Mandatory Arbitration & Class Action Waiver

• By agreeing to these Terms, you agree to resolve any disputes through binding individual arbitration instead of court litigation.
• Arbitration will be conducted by the American Arbitration Association (AAA).
• Class action lawsuits and mass arbitration claims are prohibited.
• The arbitration hearing will take place in Delaware, unless mutually agreed otherwise.
• Either party may seek equitable relief in court for intellectual property disputes or claims qualifying for small claims court.
• You may opt out of this Arbitration Agreement by sending a written notice to support@trypith.com within 30 days of your first purchase.

Intellectual Property & Site Content Rights

• The Website, App, and all of their contents, including product names, designs, graphics, text, logos, and the Pith brand mark, are the property of Sage Mind, Inc..
• You may not modify, copy, distribute, or sell any Website or App content without our express written consent.
• Any user-generated content, such as reviews or testimonials, grants Sage Mind, Inc. a perpetual, royalty-free, and irrevocable license to use.

Limitations of Liability

• Our products and Services are provided "as is" and "as available".
• We make no warranties, express or implied, regarding their effectiveness, accuracy, or fitness for a particular purpose.
• Under no circumstances will Sage Mind, Inc. be liable for indirect, incidental, or consequential damages arising from the use of our products, App, or Website.
• Some states do not allow limitations on liability, so these provisions may not apply to you.

Termination of Access

• We reserve the right to terminate or restrict access to our Services if you violate these Terms or engage in unlawful conduct.
• Termination may occur without prior notice at our discretion.

Indemnification

You agree to indemnify and hold Sage Mind, Inc., its officers, directors, employees, and affiliates harmless from any claims, damages, or expenses resulting from your use of our Services, Website, or App.

Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict of law principles.
